4. Motion to go into Closed Session:

4.A. [Section 551.071, Texas Government Code - Consultation with Attorney:] For a private consultation with the Board's attorney with respect to pending or contemplated litigation or settlement offers, and/or on matters where the attorney's duty to the Board, under the Texas Disciplinary Rules of Professional Conduct of the State Bar of Texas clearly conflicts with the open government provisions of Chapter 551 of the Government Code, to wit:

4.A.1. Proposed amendments to the original agreement with the City of San Antonio for the District's use of Kennedy Park, to allow for a possible environmental study and proposed construction of a field house and related improvements to the Park for the benefit of the District, and for the revision and/or inclusion of such other terms and conditions as the parties find mutually agreeable.

4.A.2. Proposed termination of restrictions/covenants affecting the Las Palmas Subdivision of which Las Palmas Elementary School Property is a part. [Not an action item]

4.A.3. Policy series DGBA requirements for grievance appeals and process to be followed for Level IV hearings.

4.A.4. Legal issues associated with other agenda items brought into Closed Session.

4.C. [Section 551.072, Texas Government Code - Real Estate:] to deliberate the purchase, exchange, lease, or value of real property if deliberation in an open meeting would have a detrimental effect on the position of the government body in negotiations with a third party.

6.A. Approval of minutes for board meetings: Notice of Canvass on November 14, 2012; Regular Board Meeting on November 27, 2012; Special Board Meeting on December 3, 2012 and Special Board Meeting on December 17, 2012.

6.B. Approval of Budget Amendments for the period ending January 8, 2013.

6.C. Approval of the Quarterly Investment Report from September 1, 2012 through November 30, 2012.

6.D. Approval of the Annual Financial and Compliance Report for Year Ending August 31, 2012.

6.E. Approval of the use of John F. Kennedy High School Auditorium by the Edgewood Council of PTAs with a waiver of fees as permitted by Policy GKD (Local).

6.F. Approval to proclaim February 1 - April 30, 2013, as the Edgewood Employee Wellness Campaign and Biggest Loser Contest in Edgewood ISD.

6.G. Approval to proclaim February 2013 as African-American History Month in the Edgewood ISD.

6.H. Approval to proclaim National School Counseling Week in Edgewood ISD during the week of February 4-8, 2013.

7. Individual Items for Consideration and Approval:

7.A. Authorization for the Superintendent to dispose of the identified Edgewood property that is no longer necessary for the operation of the District located at 1930 Herbert Lane, in accordance with Policy CI (Local).

7.B. Approval of Amendment #2 to the Head Start contract with the City of San Antonio, which provides additional projected prorated funding from the City of San Antonio (CoSA) to fund the Head Start Program in Edgewood ISD beginning February 1, 2013 - June 30, 2013, subject to federal funding.

7.C. Consideration and approval of an order by the Board of Trustees authorizing the Issuance of "Edgewood Independent School District Unlimited Tax Refunding Bonds, Series 2013", levying a continuing direct annual Ad Valorem Tax for the payment of the Bonds; prescribing the form, terms, conditions, and resolutions of other matters incident and related to the issuance, sale and delivery of the Bonds, including the Approval and Distribution of an Official Statement pertaining thereto; authorizing the execution of a Paying Agent/Registrar Agreement, an Escrow and Trust Agreement, a Purchase Contract and a Letter of Representations with the Depository Trust Company, delegating the authority to certain members of the Board of Trustees and District Staff to Execute certain documents relating to the Sale of the Bonds; and providing an effective date.

7.D. Approval of promotions, transfers, new hires, resignations, retirements and reassignments for professional contract personnel where Board Action is required. [Note: Board action on this item, if any, is limited to those personnel items that require Board action; otherwise, the item is for information only, whether or not the Board approves a motion to approve this item; and, in any event, the Board does not approve transfers, resignations previously approved by the Superintendent, retirements and reassignments.]

7.E. Approval of CTWP of San Antonio Lease and Rental Agreement duplicating equipment, maintenance, and service to include all consumables in the amount not exceed $3,805.67 annually.

7.F. Action, Decision or Vote on December 3, 2012, Level IV grievance appeal by continuing contract employees.

7.G. Approval of the use of the Edgewood Theatre by the Mexican American School Board Members Association of Texas (MASBA) with a waiver of fees as permitted by Policy GKD (Local).
