Consider and take action to approve the form of an Order Authorizing The Issuance, Sale And Delivery Of Crockett County Consolidated Common School District No. 1 Unlimited Tax School Building Bonds, Series 2020; Levying A Tax And Providing For The Security And Payment Of Such Bonds; Approving The Engagement Of Co-Bond Counsel In Connection With The Foregoing; And Enacting Other Provisions Relating Thereto The foregoing Order includes authorization of the engagement of Sara Leon & Associates, LLC and Orrick, Herrington & Sutcliffe LLP as Co-Bond Counsel pursuant to an engagement letter under which Crockett County Consolidated Common School District No. 1 will be obtaining specialized legal services in connection with the issuance of one or more series of bonds based on the demonstrated competence, qualification and experience to serve as bond counsel for the District, including without limitation Orrick’s experience as a nationally recognized bond counsel firm; finding that (i) such legal services require specialized expertise and experience in municipal finance, federal tax law and federal and state securities laws and therefore cannot be adequately performed by the attorneys and supporting personnel of the County or the District , (ii) such legal services cannot be reasonably obtained from attorneys in private practice under a contract providing for the payment of hourly fees without contingency because the District will not be obligated to pay any legal fees until the successful closing of the contemplated transactions and (iii) entering into a contingent fee contract for legal services is in the best interest of the residents of the District because Co-Bond Counsel will only be paid in the event that the contemplated transactions are completed and successfully close.”
