I move that the investments made by the Investment Committee since the last Annual Meeting of the Board of Directors be ratified and approved. This motion, made by Nick Reed and seconded by Pam Hutchins, Carried.

I move that the persons on the list attached to this Agenda item, a copy of which appears before each Director, be elected as Officers of the Company for the ensuing year, contingent upon their continued employment or retention. This motion, made by Maureen Greenup and seconded by Nick Reed, Carried.

I move that effective April 1, 2025, the Medical Director of the Company, Michael E. Dever, M.D., doing business as Medical Consulting, LLC, a) be appointed as the non-officer Medical Director of GPM H&L, and b) that his fees, set out in a contract between Medical Consulting, LLC, GPM Life and GPM H&L, and paid by GPM Life, be properly allocated to and paid by GPM H&L corresponding to his services to GPM H&L, and c) his appointment continue until the next Annual Meeting of the Board of Directors, contingent on his continued retention. I move that the following Directors be appointed as members of the Audit Committee for the ensuing year: Angela Salinas Cyndi Taylor Krier and that when appointed, each shall serve until the next Annual Meeting of the Board of Directors, contingent upon their continued retention. Further, I move that Pamela Hutchins and Maureen Greenup shall consult with the Committee when it desires. This motion, made by Mark Oetinger and seconded by Maureen Greenup, Carried.

I move that H&L pay each member of the Audit Committee a fee of $500 for each meeting of the Committee in which issues involving both the Audit Committees of GPM H&L and GPM Life are discussed, and a fee of $4,500 for each meeting of the Committee in which issues involving only the Audit Committee of GPM H&L are discussed. This motion, made by Peter J. Hennessey IV and seconded by Mark Oetinger, Carried.

I move that the following Directors be appointed as members of the Executive Committee for the ensuing year: Peter J. Hennessey III Cristy J. Farley Pamela A. Hutchins Peter J. Hennessey IV and that when appointed, each shall serve until the next Annual Meeting of the Board of Directors, contingent upon their continued employment or retention. This motion, made by Maureen Greenup and seconded by Mark Oetinger, Carried.

I move that the following Directors be appointed as members of the Investment Committee for the ensuing year: Cristy J. Farley Peter J. Hennessey IV Maureen Greenup Mark Oetinger Pam A. Hutchins Peter J. Hennessey III Sean Staggs, Advisory Member and that when appointed, each shall serve until the next Annual Meeting of the Board of Directors, contingent upon their continued employment or retention. Further, I move that Mark Oetinger be designated Chairman of the Committee and shall prepare and keep all records of the Committee. I move that the Board of Directors approve the succession of Chief Executive Officer Motion attached hereto and appearing before all Directors. Attached CEO Motion for Directors: I move that in accordance with the principles of the Company Bylaws, A) Peter J. Hennessey IV shall succeed Peter J. Hennessey III as Chief Executive Officer of the Company, effective May 1, 2025, contingent upon continued employment and retention; B) Peter J. Hennessey III shall remain as Chairman of the Board contingent upon continued employment and retention. This motion, made by Pam Hutchins and seconded by Maureen Greenup, Carried.
