Description:  First Student has requested an amendment to its existing contract with ECHO while ECHO and its member districts are primarily using remote learning and therefore not needing transportation services. Similar to the amendment in the spring of 2020, the proposed amendment would require ECHO and its member districts to pay First Student 40% of the regular daily rate of service when First Student is not transporting students in order to offset First Student’s losses due to not running routes. ISBE passed a regulatory rule last fall, 23 Ill. Admin. Code 120.30(e), which authorizes payments to transportation vendors and allows such payments to reimbursed by the formula under Section 29-5 of the School Code "regardless of any service that may be provided." ECHO and its member districts are not required to enter into the amendment, and will save resources by not entering into the amendment, but such savings may be offset by reduced reimbursements from the State in 2021-2022. The proposed amendment also requires First Student to mitigate any of its damages, to account for any of its losses due to the remote learning period, and to credit ECHO and its member districts if First Student’s losses during the remote learning period are less than the 40% payments. First Student must also negotiate in good faith about a credit to ECHO and its member districts if the State fails to reimburse any of the payments.
