VIII. APPROVING AND AUTHORIZING THE ENGAGEMENT LETTER BETWEEN THE STAMFORD INDEPENDENT SCHOOL DISTRICT AND LIVE OAK PUBLIC FINANCE, LLC FOR FINANCIAL ADVISORY SERVICES AND ALL MATTERS RELATED THERETO, AS IT PERTAINS SOLELY TO THE MAINTENANCE TAX NOTES, SERIES 2020
IX. RESOLUTION OF THE BOARD OF TRUSTEES OF STAMFORD INDEPENDENT SCHOOL DISTRICT AUTHORIZING THE ISSUANCE AND SALE OF A MAINTENANCE TAX NOTE, SERIES 2020, IN THE AGGREGATE PRINCIPAL AMOUNT OF $530,000, PROVIDING FOR THE SECURITY FOR AND PAYMENT OF SAID NOTE; AND ENACTING OTHER PROVISIONS RELATING TO THE SUBJECT
Description:  The foregoing Resolution includes authorization of the engagement of Orrick, Herrington & Sutcliffe LLP, Houston, Texas, as Tax Counsel and Co-Bond Counsel, and Walsh Gallegos Treviño Russo & Kyle P.C., San Antonio, Texas, as co-bond counsel pursuant to an engagement letter under which the District will be obtaining specialized legal services in connection with the issuance of the maintenance tax note based on the demonstrated competence and qualifications of such firms, including without limitation Orrick’s experience as a nationally recognized bond counsel firm; finding that (i) such legal services require specialized expertise and experience in municipal finance, federal tax law and federal and state securities laws and therefore cannot be adequately performed by the attorneys and supporting personnel of the District, (ii) such legal services cannot be reasonably obtained from attorneys in private practice under a contract providing for the payment of hourly fees without contingency because the District will not be obligated to pay any legal fees until the successful closing of the contemplated transaction and (iii) entering into a contingent fee contract for legal services is in the best interest of the residents of the District because Co-Bond Counsel will only be paid in the event that the contemplated transaction is completed and successfully closes."
